Terms of service are a legal agreement governing the use of your website or mobile app. They set out the rights and obligations of the parties in respect of the website and are an important way for the corporation to limit its liability and protect its intellectual property rights.

For a simple informational website, the terms are generally just displayed on the website. Where users will be creating an account or entering into any transaction through the website, the user should be required to expressly agree to the terms, such as by clicking a checkbox when they create an account.

The following are some common provisions:

  • intellectual property protections
  • user content provisions, which confirm that the corporation may use any content contributed by a user and restrict the types of content a user may contribute (e.g. no discriminatory content, no content which would violate intellectual property rights of others, etc.)
  • provisions preventing improper conduct such as scraping content, hacking
  • limitation of liability and disclaimers which, on the whole, basically say that the corporation is not responsible for maintaining the website, its accuracy any security incident or data breach
  • as a website can be viewed from anywhere, provisions confirming the applicable law and jurisdiction in which disputes must be dealt with are important
  • the corporation is permitted to modify the terms

All websites should include terms of service. Where user accounts are created or any transactions are conducted through an application, more customized terms of service would be necessary.
