A corporation must have a registered office. The office cannot be a post office box.
An Ontario corporation must keep its registered office in Ontario. Ontario corporations require a directors' resolution to change the registered office within a municipality or geographic township and a special resolution of shareholders to change its registered office to another municipality or geographic township. When the registered office is changed a Form 1 Notice of Change must be filed.
A federal corporation must keep its registered office in Canada in the province specified in it articles. Federal corporations require a directors' resolution to change the registered office within a province. A Form 3 must be filed. A special resolution of the shareholders and articles of amendment are required to change its registered office to another province.
